Anthropic plans, subject to stockholder approval, to commit 5% of its shares to a new public-benefit fund. The structure gives the fund an equity stake that can grow as the private AI developer’s valuation rises, rather than a fixed cash grant.

The Anthropic Public Benefit Fund will be a wholly owned LLC. Anthropic’s board may add 2 percentage points to its stake for every 50% increase in company value above an undisclosed baseline. The vehicle could make large nonprofit grants or distributions to selected groups, while its shares cannot be used for lobbying or political giving.

Anthropic sells paid Claude plans to individuals and workplace customers, while developers use a separately billed API to build Claude into applications. The announcement describes a share commitment tied to the value of that business, not cash already available for distribution, and does not say when the fund might sell shares or make payments.

Anthropic’s cofounders had previously pledged to donate 80% of their equity holdings. The company also matches equity pledged by employees and says approximately half of its staff participates. Anthropic says those arrangements and the new fund together dedicate roughly 20% of its shares to public purposes, with more potentially added at valuation milestones.

Unlike a private foundation, the LLC has no IRS minimum payout requirement and does not have to publicly disclose its recipients, Inside Philanthropy reported. Anthropic said it will provide details about the fund’s governance and valuation milestones in the coming months, leaving unanswered who will direct it and how quickly the equity could produce public-benefit spending.
