Modular-building lessor Portakabin closed a roughly $2.5 billion investment-grade-rated debt platform on October 7, according to Dealroom and advisers to the transaction. Dealroom characterized the senior-secured package as a refinancing that repays existing debt and draws funding from relationship banks and private-placement investors.

The transaction should not be read as a $2.5 billion equity injection. A Portakabin holding-company filing shows that security created in August 2024 was satisfied in full on the refinancing’s closing date, supporting the reported replacement of earlier borrowing without identifying the individual loans repaid.

Portakabin owns more than 100,000 modular units and leases them to over 4,000 customers across Britain and parts of continental Europe. Its customers include schools, healthcare providers, public bodies and commercial and industrial organizations that use buildings manufactured off site.

Infrastructure investor Antin acquired Portakabin in June 2024. Transaction advisers said the new platform provides longer-term funding for expansion, but they did not disclose how much incremental liquidity remains after the existing debt is repaid.

Simpson Thacher and Noerr said banks and institutional investors participated and described the financing as investment-grade-rated. Their announcements did not identify the rating provider, lenders, pricing or maturities.
